These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

2. Our services

SMEAutomate provides AI workflow automation services for UK small and medium-sized businesses, including:

• Workflow assessment and automation scoring tools (free, web-based)
• Automation assessments — one-off engagements priced at £999 or £1,999
• Managed automation subscriptions starting from £500 per month

The specific scope, deliverables, and pricing of any paid engagement will be confirmed in a separate order confirmation or statement of work before work begins.

3. Using our website

You agree not to:

• Use the website for any unlawful purpose or in a way that infringes the rights of others
• Attempt to gain unauthorised access to any part of our systems
• Transmit any malicious code, spam, or unsolicited communications via our forms
• Reproduce, copy, or resell any part of our website or tools without written permission

We reserve the right to restrict or terminate access to the website for any user who breaches these conditions.

4. Assessment tools

Our free workflow assessment and automation score tools are provided for informational purposes only. Results are indicative and based on the information you supply. They do not constitute professional advice, and we make no guarantee as to the accuracy or completeness of any output.

Submission of an assessment does not create a contractual relationship or obligation on either party.

5. Paid services

Payment

Payment terms will be set out in your order confirmation. Invoices are due within 14 days unless otherwise agreed in writing.

Cancellation — one-off assessments

You may cancel a booked assessment up to 48 hours before the scheduled start time for a full refund. Cancellations within 48 hours are non-refundable.

Cancellation — subscriptions

Monthly subscriptions may be cancelled with 30 days' written notice. You will retain access until the end of the current billing period. No partial-month refunds are issued.

Consumer rights

Our services are provided to businesses, not consumers. By purchasing, you confirm you are acting in the course of a business and that statutory consumer cancellation rights under the Consumer Contracts Regulations 2013 do not apply.

6. Intellectual property

All content on this website — including text, graphics, code, and tooling — is owned by or licensed to Automate Holdings Ltd. You may not reproduce or distribute any part without our prior written consent.

Any materials, reports, or deliverables we produce specifically for you as part of a paid engagement remain our intellectual property until payment is received in full, at which point a non-exclusive licence is granted to you for internal business use.

7. Limitation of liability

To the fullest extent permitted by law, Automate Holdings Ltd shall not be liable for any indirect, incidental, or consequential losses arising from your use of our website or services, including but not limited to loss of profits, data, or business opportunity.

Our total aggregate liability for any claim arising under these terms shall not exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim.

Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with a paid engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Our website may link to third-party websites. We are not responsible for the content or practices of those sites. Links do not imply endorsement.

10. Changes to these terms

We may update these terms from time to time. We will notify existing clients of material changes by email. Continued use of our services after notice constitutes acceptance of the revised terms.
